| Daxing project cooperation agreement |

In April, 2007 Cernet Educaiton Ltd and National New Media Industry Base had signed the strategy cooperation agreement. Cernet Education Ltd has established a daughter company in Daxing called Beijing Cernet education information technology Ltd, which the registered capital is 65,000,000 RMB. This company would cooperate with national new media industry base emphases on building, innovating the culture and digital products’ copyright protection, at the same time, take trade export and building the next generation network and eduction training as the purposes.
In order to exert the company resources strength, promote the new media industry into information technology, through consultation with national new media industry base, Cernet education would continue cooperating with Harword University, Qinghua University and other world-class Universities set up the “Cernet education new media working platforms and education industry base” together in national new media industry base.
The National New media Industry base has been selected the most value invest innovation base in 2006.
